1. Agreement to Terms

By completing a purchase, booking a service, or accessing any of our products, you agree to these Terms of Service and our Privacy Policy. These terms apply to all clients, regardless of the package or price purchased, and replace any need for a separate signed contract.

2. Scope of Services

We provide digital consulting, CRM builds, automation, AI integration, and related services delivered remotely via email, virtual meetings, and messaging platforms.

  • Specific inclusions for your purchase are shown on the checkout page at the time of payment.

  • Our services may evolve during the engagement based on best practices, platform changes, and identified opportunities for optimization.

3. Fulfillment & Delivery

Onboarding typically begins within 1–2 business days of payment unless otherwise stated. You will receive onboarding instructions, timelines, and direct access to your dedicated team via our client portal or Slack channel.

4. Client Responsibilities

To ensure timely delivery, you agree to:

  • Designate a primary point of contact for approvals and communication.

  • Provide required information and assets promptly.

  • Respond to communication requests within reasonable timeframes.

    Delays on your part may affect timelines without penalty to Active Solutions AI.

5. Payment, Refunds & Cancellations

  • All payments are non-refundable once onboarding begins due to the custom nature of our work. Upon the scenario where NO work has been started by Active Solutions, refunds will absolutely be considered. Any other disputes can be resolved through active communication.

  • For monthly subscriptions, you may cancel with at least 7 days’ notice before the next billing date, via email, client portal, or slack.

  • Failed or missed payments may result in service suspension until the balance is resolved.

  • You agree not to dispute valid charges or initiate chargebacks on authorized payments without communication first.

6. Ownership & Intellectual Property

  • All CRM builds, workflows, automations, landing pages, and custom assets we create for you remain your property upon completion.

  • Proprietary tools, templates, and developer assets built by Active Solutions AI remain our property and are not transferred.

7. Limitations of Liability

We are not liable for:

  • Third-party platform outages, API changes, or feature deprecations.

  • Suspension or restriction of accounts by external providers.

  • Delays or failures caused by actions outside our control.

    Our total liability is limited to the amount you paid for the service in question.

8. Non-Solicitation

You agree not to solicit or hire any Active Solutions AI employees or contractors during your active service and for six (6) months thereafter.

9. Privacy & Confidentiality

We will not share or use your proprietary information outside the scope of contracted services. All data, including customer lists and internal processes, remains confidential.

10. Governing Law

These terms are governed by the laws of the United States. Both parties waive the right to a jury trial.
